Terms of Service

These Terms of Service govern use of SC IT Consulting services and website. By engaging our services, you agree to these terms.
1. Services
We provide IT consulting and related support services for business clients. Scope, deliverables, timelines, and fees are agreed in writing.
Services may include Microsoft 365 support, network and Wi-Fi improvements, security hardening, and documentation, depending on the agreed scope.
2. Client Responsibilities
- Provide accurate information and timely access to relevant systems.
- Maintain required licenses, permissions, and lawful authority.
- Review and approve deliverables within agreed timelines.
- Maintain internal backups, cyber insurance, and business continuity planning unless we explicitly agree to provide these.
3. Fees and Payment
Fees and payment terms are set out in proposals, statements of work, or invoices. Late payments may result in paused services.
Unless otherwise agreed, invoices are due within 14 days from invoice date. We may charge statutory interest and recovery costs on overdue amounts where permitted by law.
4. Confidentiality
Each party agrees to protect confidential information and only use it for the purpose of delivering or receiving services.
5. Intellectual Property
Unless otherwise agreed in writing, pre-existing materials remain the property of their original owner. Client-specific deliverables are licensed or assigned as stated in project documentation.
6. Third-Party Products and Services
You may use third-party tools, software, cloud platforms, or telecom providers as part of service delivery. We are not responsible for the availability, pricing, or performance of third-party services.
7. Limitation of Liability
To the maximum extent permitted by law, SC IT Consulting is not liable for indirect or consequential losses. Total liability is limited to fees paid for the relevant services.
This limitation does not exclude liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
8. Warranties and Disclaimers
Services are provided with reasonable care and skill. Except where required by law, services are provided without additional warranties.
We do not guarantee that services will prevent all outages, security incidents, or losses.
9. Termination
Either party may terminate services in accordance with agreed contract terms. Fees for work completed up to termination remain payable.
Either party may also terminate for material breach not remedied within 14 days of written notice.
10. Non-Solicitation
During an engagement and for 12 months after it ends, neither party will knowingly solicit for direct employment key personnel introduced through the engagement without prior written consent.
11. Governing Law
These terms are governed by the laws of England and Wales unless otherwise agreed in writing.
